GOVERNING LAW & DISPUTE RESOLUTION

These Terms and Conditions are governed by the laws of the United States (including federal arbitration law) and the State of Michigan, without regard to its principles of conflicts of law, irrespective of your location. With the exception of disputes eligible for resolution in small claims court, all disputes arising from or related to these terms or any aspect of the relationship between you and the Company, whether based on contract, tort, statute, fraud, misrepresentation, or any other legal theory, will be settled through final and binding arbitration before a neutral arbitrator instead of in a court by a judge or jury. By agreeing to these terms, you acknowledge that you are waiving the right to trial by a jury.

You further agree that any arbitration under this Agreement will occur on an individual basis; class arbitrations and class actions are not permitted, and you are relinquishing the ability to participate in a class action. The arbitration process will be administered by the American Arbitration Association under its Consumer Arbitration Rules, as modified by this Agreement.

The arbitrator will conduct hearings, if any, through teleconference or videoconference, rather than personal appearances, unless the arbitrator deems an in-person hearing appropriate upon request by you or the Company. The arbitrator’s decision will adhere to these terms and will be conclusive and binding.

The arbitrator will have the authority to grant temporary, interim, or permanent injunctive relief or relief enforcing specific performance of these terms, but only as necessary to provide the relief warranted by the individual claim before the arbitrator. The award issued by the arbitrator may be confirmed and enforced in any court having jurisdiction.

MISCELLANEOUS

You affirm and assure the Company that you possess all essential rights, authority, and power to consent to these terms and fulfill your obligations herein, and nothing within this agreement or the execution of such obligations will result in a violation of any other contract or duty on your part. The failure of either party to exercise any right provided for herein will not be considered a waiver of any additional rights granted herein.

In the event that any provision of these terms is determined to be unenforceable or invalid, such provision will be restricted or removed to the minimum extent required to ensure that this agreement otherwise remains in full force, effect, and enforceable. Any new features, modifications, updates, or enhancements of the Program will be subject to these terms unless expressly stated otherwise in writing.

CHANGES TO TERMS AND CONDITIONS

The Company retains the right to modify these terms periodically. Any revisions to these terms will be communicated to you. You recognize your obligation to periodically review these terms and stay informed of any such alterations. By continuing your participation in the Program after any such modifications, you acknowledge and accept these terms as amended.
